Item 8.01 Other Events.

     On July 14, 2016, the Company announced it has reached a definitive agreement with Food Lion, LLC, to purchase the assets of 38 Food Lion supermarket locations operating in the states of Maryland, Virginia and Delaware. A copy of the news release is attached hereto as Exhibit 99.1 and is incorporated herein by this reference.
