ITEM 8.01 Other Events.

On July 12, 2007, Force Protection, Inc. (the “Registrant”) issued a press release to announce that it purchased a new 430,000 square foot facility in Roxboro, NC.  The press release is filed herewith as Exhibit 99.1 and incorporated by reference herein.
