Item 1.01 Entry into a Material Definitive Agreement
On February 19, 2016, the registrant entered into an underwriting agreement (Underwriting Agreement) with Citigroup Global Markets Inc., J.P. Morgan Securities LLC and U.S. Bancorp Investments, Inc., as representatives of the several underwriters listed on Schedule II thereto, relating to the offer and sale of $400 million aggregate principal amount of the registrants 4.500% notes due 2026 (Notes). The Notes are being offered and sold pursuant to the registrants effective shelf registration statement on Form S-3 (File No. 333-187773) and prospectus supplement, dated February 19, 2016. The sale of the Notes is expected to close on February 24, 2016, subject to customary closing conditions.
The foregoing descriptions of the Underwriting Agreement and the Notes are qualified in their entirety by reference to the complete terms and conditions of the Underwriting Agreement and the form of the Notes, which are attached hereto as Exhibits 1.1 and 4.1, respectively, and incorporated herein by reference. Kantor, Executive Vice President, General Counsel and Secretary of the registrant relating to the legality of the Notes to be issued and sold in the offering is filed as Exhibit 5.1 hereto.
