Item 2.02. Results of Operations and Financial Condition.

On July 16, 2008, Rurban Financial Corp. (the “Company”) issued a news release reporting financial results for the second quarter ended June 30, 2008. A copy of the July 16, 2008 news release is furnished as Exhibit 99.1 and is incorporated herein by reference.

Item 7.01 - Regulation FD Disclosure.

On July 16, 2008, the Company issued a news release announcing that its Board of Directors has declared a quarterly shareholder dividend of $0.09 per share, which represents an increase of $0.01 per share from the prior quarter. The dividend is payable on August 22, 2008 to all shareholders of record on August 8, 2008. A copy of the July 16, 2008 news release is furnished as Exhibit 99.2 and is incorporated herein by reference.
