Item 2.02. Results of Operations and Financial Condition.

On January 21, 2009, Rurban Financial Corp. (the “Company”) issued a news release reporting financial results for the fiscal year and fourth quarter ended December 31, 2008.  A copy of the January 21, 2009 news release is furnished as Exhibit 99.1 and is incorporated herein by reference.

Item 7.01 – Regulation FD Disclosure.

On January 21, 2009, the Company issued a news release announcing that its Board of Directors has declared a quarterly shareholder dividend of $0.09 per share.   The dividend is payable on February 20, 2009 to all shareholders of record on February 6, 2009.  A copy of the January 21, 2009 news release is furnished as Exhibit 99.2 and is incorporated herein by reference.
