(1) The number of shares of common stock, par value $0.0001 per share (“Common Stock”), stated above consists of the aggregate number of shares which may be sold under the Alphatec Holdings, Inc. 2007 Employee Stock Purchase Plan (the “Plan”). The maximum number of shares which may be sold under the Plan is subject to adjustment in accordance with certain anti-dilution and other provisions of the Plan. Accordingly, pursuant to Rule 416 under the Securities Act of 1933, as amended (the “Securities Act”), this Registration Statement covers, in addition to the number of shares stated above, an indeterminate number of shares which may be issuable after the operation of any such anti-dilution and other provisions.

 

(2) This calculation is made solely for the purpose of determining the registration fee pursuant to the provisions of Rule 457(c) and (h) under the Securities Act based on the average of the high and low prices of the Registrant’s Common Stock as reported on the Nasdaq Global Market on November 5, 2007.

The validity of the issuance of the shares of common stock registered under this Registration Statement has been passed upon for the Registrant by Mintz, Levin, Cohn, Ferris, Glovsky and Popeo, P.C., (“Mintz Levin”). Mintz Levin and members of that firm, their families and trusts for their benefit own no shares of Common Stock of the Registrant, although a member of Mintz Levin owns an aggregate of 1.25 preferred units and 15 common units in HealthpointCapital, LLC, which has a 25% ownership interest in HGP, LLC, which is the general partner of, and has a 20% profits interest in, HealthpointCapital Partners, LP. As disclosed in the Schedule 13D jointly filed by HealthpointCapital Partners II, L.P., Mortimer Berkowitz III, John H. Foster, and HGP II, LLC on October 15, 2007, HealthpointCapital Partners, LP is the beneficial owner of 13,344,639 shares of common stock, or 29.4% of the outstanding common stock of the Registrant.
