Conversion of Series E Preferred Stock: |
Our amended and restated certificate of incorporation, as amended, provides that additional shares of Class B common stock are to be issued upon conversion of the Series E preferred stock immediately upon the closing of this offering if the initial public offering price is below $14.10 per share, as described under Certain Relationships and Related-Party TransactionsAmended and Restated Certificate of Incorporation in the Preliminary Prospectus. The holders of our Series E preferred stock have waived this conversion adjustment feature with respect to this offering. As a result of this waiver, the shares of Series E preferred stock will convert into 15,597,300 shares of Class B common stock. |

The table below assumes that there are 62,576,035 shares of our Class A common stock and 27,885,000 shares of our Class B common stock outstanding immediately following the closing of this offering. All shares are Class A common stock unless otherwise noted.
Beneficial ownership is determined in accordance with the rules of the SEC and includes voting or investment power with respect to the securities. Shares of common stock that may be acquired by an individual or group within 60 days of June 30, 2012, pursuant to the exercise of options, warrants or other rights, are deemed to be outstanding for the purpose of computing the percentage ownership of such individual or group, but are not deemed to be outstanding for the purpose of computing the percentage ownership of any other person shown in the table. The underwriters have an option to purchase up to 1,250,000 additional shares of our Class A common stock from the selling stockholders to cover overallotments.
