Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On July 28, 2005, Mark D. Slusser announced his plans to resign as Chief Financial Officer, Vice President Finance and Secretary of America’s Car-Mart, Inc. (the “Company”), effective September 30, 2005. Mr. Slusser plans to pursue other interests. There was no disagreement with the Company on any matter relating to the Company’s operations, policies or practices that led to his resignation. The Company has commenced a search for his replacement.
