This Amendment No. 2 (this Amendment No. 2) to the Statement on Schedule 13D (the Statement) relates to the common stock, par value $.01 per share of Danaher Corporation, a corporation organized under the laws of the state of Delaware (the Company). This Amendment No. 2 amends and supplements (i) the Statement originally filed on March 30, 2007 with the Securities and Exchange Commission (the Commission) by Steven M. Rales, and (ii) Amendment No. 1 to the Statement filed on July 31, 2009 with the Commission by Steven M. Rales. Unless otherwise defined herein, capitalized terms used herein shall have the meanings ascribed thereto in the initial Schedule 13D or Amendment No. 1, as applicable. The purpose of this Amendment No. 2 is to amend and supplement the information contained in Items 3, 5, 6 and 7 of the Statement.
This Amendment reflects the same number of shares held by the Reporting Person as reflected in the Companys proxy statement filed April 4, 2011. The Reporting Persons percentage ownership differs from the amount reflected in the Companys proxy statement as a result of the dilutive effect of the Companys issuance of 19,250,000 shares of common stock in June 2011.
The Reporting Persons percentage and share ownership reflected in this Amendment No. 2 differs from the Reporting Persons percentage and share ownership reflected in Amendment No. 1 on account of: the Companys 2-for-1 stock split on June 10, 2010, the Reporting Persons acquisition of shares through a 401(k) plan, the increase in the number of shares outstanding as a result of the Companys sale of 19,250,000 shares of common stock in June 2011, the disposition of shares by the Reporting Persons charitable foundation and the issuance of shares pursuant to the Companys equity compensation plans.

On June 10, 2010, the Company declared a 2-for-1 stock split which doubled the Reporting Persons shares owned as of the record date, May 25, 2010.
|Item 5.||Interest in Securities of the Issuer|
As of the date hereof, Steven M. Rales is the beneficial owner of 58,140,869 shares of common stock representing approximately 8.5% of the approximately 684,716,060 shares outstanding, as disclosed in the Companys Prospectus Supplement filed June 15, 2011. The Reporting Persons ownership consists of 40,000,000 shares owned by limited liability companies of which Steven M. Rales is the sole member, 9,129 shares attributable to Steven M. Rales 401(k) account, 18,014,740 shares owned directly and 117,000 shares owned by a charitable foundation of which Steven M. Rales is a director. Steven M. Rales disclaims beneficial ownership of all shares that are owned directly or indirectly by Mitchell P. Rales, his brother, and also disclaims beneficial ownership of all shares held through the charitable foundation.
All of the shares of the Companys common stock held by the limited liability companies of which Steven M. Rales is the sole member are pledged to secure lines of credit with certain banks and each of these entities and Steven M. Rales is in compliance with these lines of credit.

This Item incorporates by reference the information in Item 4 and Item 5 hereof. There are presently no contracts, arrangements, understandings or relationships (legal or otherwise) with respect to the securities of the Company owned by the Reporting Person, including, but not limited to, transfer or voting of any securities, finders fees, joint ventures, loan or option arrangements, puts or calls, guarantees of profits, division of profits or loss, or the giving or withholding of proxies.
