The investigation concerns whether the CyberSource Board of Directors breached their fiduciary duties to CyberSource stockholders by failing to adequately shop the Company before entering into this transaction and whether Visa is underpaying for CyberSource shares, thus unlawfully harming CyberSource stockholders.
