Buenaventura Announces the Resolutions of Annual Shareholders’ Meeting

Compañía de Minas Buenaventura S.A.A. (“Buenaventura”) (NYSE: BVN; Lima Stock Exchange: BUE.LM), Peru’s largest publicly traded, precious metals mining company announced the resolutions of the Company’s Annual General Shareholders’ Meeting held March 27, 2014. The following resolutions were passed:

1. Approval of the 2013 Annual Report.

2. Approval of the Financial Statements as of December 31, 2013.

3. Appointment of Ernst and Young (Medina, Zaldivar, Paredes y Asociados) as External Auditors for fiscal year 2014.

4. Ratification of the dividend policy amendment, which was approved by the Board of Directors on July 30, 2013.

5. Approval of the payment of a cash dividend for 1.1 cents (US$) per share or ADS to be paid in U.S. dollars on April 29, 2014, with April 15, 2014 as the Record Date.

6. Designation of the members of the board for the 2014 – 2016 period:

  • Mr. Igor Gonzales
  • Mr. Jose Miguel Morales
  • Mr. Felipe Ortiz-de-Zevallos
