REX American Resources Corporation (NYSE: REX) (“REX” or the “Company”) announced today that the Company’s Board of Directors, acting pursuant to the Company’s Bylaws, increased the number of directors from eight to nine and appointed J. Dennis Hastert to fill the newly created directorship. Mr. Hastert satisfies the standards for director independence under the applicable rules of the SEC and the NYSE as well as the Company’s Corporate Governance Guidelines and reflecting his appointment, the Company’s Board will be composed of six members who satisfy the standards for director independence under NYSE listing rules.
Mr. Hastert, 72, has been a member of the Public Policy & Law Practice of Dickstein Shapiro LLP since 2008 where he concentrates in the areas of government law and strategy and public policy. Mr. Hastert served as Speaker of the U.S. House of Representatives from January 1999 until January 2007 and was the longest-serving Republican Speaker in history. He was elected to the U.S. House of Representatives in 1987 and served Illinois’ 14th Congressional District from 1987 to 2007. He was a senior member of the Energy and Commerce Committee and prior to his time in Congress, served in the Illinois House of Representatives from 1980 to 1986.
