Thunder Mountain Gold Updates Private Placement Financing

Thunder Mountain Gold, Inc. (the “Company” or “Thunder Mountain”) (TSX-V: THM; OTCQB: THMG) announced today that due to increased demand, the Company will increase the size of the previously approved private placement of up to 5,000,000 units for gross proceeds of up to US$250,000 (the “Private Placement”) to US$300,000 or 6,000,000 units.

Each Unit consists of one share of the Company’s common stock (each, a “Common Share”) and one-half of one common share purchase warrant (each whole warrant, a “Warrant”). Each Warrant will entitle the holder to purchase one additional share of common stock of the Company at a price of US$0.15 for a period of 18 months from the closing of the Private. The proceeds raised pursuant to the Private Placement will be used for exploration and for general working capital.

The Company has entered into a selling agreement (the “Selling Agreement”) with a selling agent (the “Agent”) to market the Units on a non-exclusive basis.

Pursuant to the Selling Agreement, the Agent has agreed to sell the Units on a non-exclusive, best efforts basis, and will be entitled to compensation in the following form: (a) a cash commission equal to 10% of the price of the Units sold by the Agent; (b) an additional cash commission of 10% of gross proceeds received from the exercise of Warrants issued as part of such Units or any other equity investment made by investors introduced by the Agent within a 24 month period following closing; and (c) non-transferable broker warrants to purchase a number of additional Units equal to 5% of Units sold by the Agent in the initial offering (the “Agent Warrants”). The Agent Warrants will have the same exercise price and otherwise be on the same terms as the Warrants. The Agent has not committed to purchase any Units and accordingly there is no assurance that the offering will be completed.

The Private Placement remains subject to the approval of the TSX Venture Exchange. The securities issued in the Private Placement will be subject to a four-month hold period in accordance with the policies of the TSX Venture Exchange and applicable Canadian securities legislation.

The Private Placement will be made on a private placement basis, exempt from prospectus and registration requirements of applicable securities laws. The securities described herein have not been, and will not be, registered under the United States Securities Act of 1933, as amended (the “U.S. Securities Act”), or any state securities laws, and accordingly, may not be offered or sold within the United States or to “U.S. persons”, as such term is defined in Regulation S promulgated under the U.S. Securities Act except in compliance with the registration requirements of the U.S. Securities Act and applicable state securities laws, or pursuant to exemptions therefrom. The securities issued in this Private Placement will be “restricted securities” under the U.S. Securities Act.
