New Source Energy Partners L.P. (NYSE:NSLP) (the “Partnership” or “New Source”) announced that the Partnership and its general partner have been named as defendants in a petition filed in state court on January 13, 2015, by its former Chairman and Senior Geologist, David J. Chernicky and entities he controls. According to the petition, Mr. Chernicky alleges, among other claims, that entities controlled by him did not receive fair value for various working interest acquired by the Partnership.
Although we believe Mr. Chernicky’s claims against the Partnership and its general partner are without merit, the Partnership is issuing this press release because of Mr. Chernicky’s former and existing relationship to the Partnership and its general partner. Mr. Chernicky is former Chairman of the board of the general partner of the Partnership. He continues to own a 30% interest in the general partner of the Partnership and, through entities he controls, Mr. Chernicky owns a significant number of the Partnership’s common units and subordinated units.
