Sovran Self Storage, Inc. Announces Closing of Public Offering of 6.9 Million Shares of Common Stock for Gross Proceeds of $690 Million; Underwriters Exercise Over-Allotment Option in Full

Sovran Self Storage, Inc. (NYSE:SSS) announced today that it closed the sale of its previously announced underwritten public offering of shares of its common stock. The Company sold a total of 6,900,000 shares of common stock at a public offering price of $100.00 per share, including 900,000 shares of common stock issued pursuant to the exercise in full of the underwriters' over-allotment option.

The Company received approximately $665.3 million from the offering after deducting the underwriting discounts and commissions and expenses related to the offering. The Company will use the net proceeds from the offering to partially fund the pending acquisition of LifeStorage, LP totaling 84 properties for $1.3 billion, debt prepayment, and general corporate purposes.

Wells Fargo Securities, Citigroup and SunTrust Robinson Humphrey acted as joint book-running managers for the offering. BB&T Capital Markets, HSBC Securities (USA) Inc., Piper Jaffray and PNC Capital Markets LLC acted as co-managers.

This offering was made pursuant to a prospectus supplement to the Company’s prospectus dated April 30, 2014, filed as part of the Company’s effective shelf registration statement relating to these securities.
