It’s Chris Ward from RDS in EARC. A question: You’ve been working on this integration team for nearly a year now. What can you tell us and what are your thoughts about the culture between Baker Hughes and Halliburton, the similarities and differences, and how do you think that will pan out?

 

Belgacem Chariag: 

Well, thank you, for the question, Chris. You know, organizations’ cultures are usually reflected in three main things, the first one being the way things are done around the organization, the second one being the rules of the behavior, the unwritten rules of the behavior, and the last and third thing is the values that are lived in the organization. You also know that both Baker Hughes and Halliburton have many similarities, the main one being that both companies have a winning culture. They have been competing for ages and they all have winning cultures.

 

However, there are things that people from both sides of the legacy companies have to do to support the consolidation of an even stronger culture. The first one is from the Halliburton side, as their employees need to be inclusive – very inclusive, actually – understanding, and accommodating to the new reality. Baker Hughes employees, on the other side, need to be very adaptive, they need to be strong team players, and they need to be extremely respectful of their new reality of being one company. And with time, I’m very sure that the strong convergence of the common values of the two companies will result in a true winning organization.

 

Emmanuel Nnaji: 

Hello. My name is Emmanuel Nnaji, Indirect Tax Analyst on the EFO Finance. My question is on the employees who perform shared services that cannot be tied to a particular product line, either for the entities that have been available for sale or for the remaining business for the combined [company]. So how will you allocate and know those who are going to be part of this split-off business eventually with the business moved? So how do you do determine that?

 

Belgacem Chariag: 

Thank you for the great question, Emmanuel. Remember that the objective of a divestiture is to create a viable standalone business that can create competition to the combined company in the specific business line. The carve-out exercise of these divested businesses should include all the required

 

 

 

support from all functions and support groups to the extent where it is sustainable by the business size and the projection, of course. And people included in these divestitures support are selected as the scope of the divested business is identified from a time perspective, a size perspective and requirement perspective, and once completed, all these people will be advised timely and adequately.

 

Sameh Hussein: 

Sameh Hussein, the Senior Country Director for Saudi Arabia and Bahrain. My question is about the completion divesting which was announced [Sept. 28, 2015]. Between the portfolio which have been offered for divesting, basically kind of it’s up now for buyers to buy. Will there be a room in terms of revising the portfolio which have been offered for sale in terms of some technology overlap between the product lines? Is this we are still in control of that or basically it’s a done deal?

 

Belgacem Chariag: 

Thank you for the question, Sameh. We are only talking here, remember, about the proposed divestiture that remains to be confirmed and approved by the competition authority. This means that the final scope remains to be approved. On the technology side, the technology transfers and overlaps can usually be handled in a number of ways, such as through either a permanent technology ownership transfer or with cross licensing as required and as justifiable by the deal.
