Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers
     On August 4, 2005, W.R. Timken, Jr. voluntarily resigned as Chairman and a member of the Board of Directors of The Timken Company, effective August 14, 2005. W.J. Timken, Jr., currently and executive officer and a member of the Board of Directors, will become Chairman of the Board, effective August 15, 2005.
     The Timken Company issued a press release on this matter on August 5, 2005. A copy of that press release is attached as Exhibit 99.1 to this report and incorporated by this reference.
