PCTEL Announces General Counsel Transition

PCTEL, Inc. (NASDAQ:PCTI), a leader in performance critical telecom solutions, announced today that Varda Goldman would be stepping down as Senior Vice President and General Counsel. She will serve as the company’s Vice President, Legal Transition Officer during 2015 and consult on a variety of matters with which she has unique familiarity. She will retire from PCTEL at the end of 2015. Shelley Bacastow, who has been the company’s Assistant General Counsel, will be promoted to Vice President and General Counsel effective January 1, 2015.

Mrs. Goldman began her executive tenure with PCTEL as the company made its transition from a struggling analog modem vendor to a global wireless technology company. Between 2002 and 2004, she participated in or directly managed 20 commercial transactions that changed the course of the company. These included the divestiture of the modem operation, the acquisition of the company’s scanning receiver assets, the purchase of the MAXRAD and Andrew antenna operations, the settlement of multiple intellectual property claims, and major contracts across all of PCTEL’s business units. Later, Mrs. Goldman negotiated intellectual property settlements with Agere and Intel for $20 million. She crafted the agreement to divest the Mobility Solutions Group in 2008 for $65 million. That divestiture resulted in a $10.5 million one-time dividend for shareholders and completely covered the costs of acquiring WiSys, Bluewave™, the Comarco scanning receiver product lines, Envision Wireless, the company’s investment in its Tianjin production capability, and its investment in China scanning receiver distribution. Most recently, Varda helped navigate the company through the recovery of nearly $8 million from the principals and advisors who misrepresented the financial records of assets acquired in 2012.

Eleven years ago, the company generated about $2.5 million in product sales in its third quarter. Last quarter, we generated nearly $28 million. We would not have accomplished this growth without Varda’s legal acumen and dedication. We are extremely grateful for her service,” added Singer.

Prior to PCTEL, Mrs. Goldman spent 25 years at Motorola. Among many other senior positions, she served as the Vice President and Director of the Law Department for Motorola’s Cellular Infrastructure group between 1989 and 1999. During that period, CIG grew from $600 million to $4.4 billion in annual revenues with commercial activities around the world.
