The Manitowoc Company, Inc. Announces the Launch of MTW Foodservice Escrow Corp.’s $425 Million Offering of Senior Notes Due 2024

The Manitowoc Company, Inc. (NYSE: MTW) (“Manitowoc”) announced today that, in connection with the previously announced spin-off of its wholly owned subsidiary, Manitowoc Foodservice, Inc. (“Manitowoc Foodservice”) as an independent public company (the “Spin-Off”), MTW Foodservice Escrow Corp., a wholly owned subsidiary of Manitowoc Foodservice, intends to commence a private offering (the “Offering”) of $425,000,000 in aggregate principal amount of MTW Foodservice Escrow Corp.’s senior notes due 2024 (the “Notes”). There can be no assurance that the Offering will be completed.

Manitowoc Foodservice intends to use the net proceeds of the Offering, together with other borrowings and cash on hand, to (1) pay a cash dividend to Manitowoc and (2) pay certain fees and expenses in connection with the Offering and certain other financing transactions, with any remaining net proceeds to be used for general corporate purposes.

The Offering will be a private offering exempt from the registration requirements under the Securities Act of 1933, as amended (the “Securities Act”). The Notes will be offered only to qualified institutional buyers pursuant to Rule 144A under the Securities Act.

The Notes have not been registered under the Securities Act and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements.
