Amendments to the Registrant’s Code of Ethics, or Waiver of a Provision of the Code of Ethics.

 

 

 

 

 

As part of its regular review of WD-40 Company’s corporate governance policies and associated documents, on October 13, 2015, the Company’s board of directors approved and adopted an amendment to the Company's code of ethics applicable to members of the board of directors and to all employees of the Company, including its principal executive officer, principal financial officer, and principal accounting officer or controller and persons performing similar functions. This amendment (the WD-40 Company Code of Conduct) is a complete restatement and consolidation of the Company’s prior Code of Business Conduct and separate Financial Reporting Code of Ethics.
