Explanatory Note


Unless the context indicates otherwise, all references to “Scientific Games,” “we,” “our,” and the “Company” refer to Scientific Games Corporation and its consolidated entities.

This Amendment No. 1 on Form 10-K/A (this “Amendment No. 1”) to our Annual Report on Form 10-K for the year ended December 31, 2012, filed with the Securities and Exchange Commission (“SEC”) on March 12, 2013 (the “Annual Report”), is being filed for the purpose of providing the audit opinion of Consorzio Lotterie Nazionali (“CLN”) as Exhibit 99.3, the separate financial statements of CLN as new Exhibit 99.9, the audit opinion of Beijing CITIC Scientific Games Technology Co., Ltd. (“CSG”) as new Exhibit 99.10, the separate financial statements of CSG as new Exhibit 99.11 and the separate financial statements and audit opinion of Beijing Guard Libang Technology Co., Ltd. (“Guard Libang”) as new Exhibit 99.12, in each case in Part IV, Item 15, Exhibits, Financial Statement Schedules (“Item 15”), in accordance with Rule 3-09 of Regulation S-X (“Rule 3-09”). As indicated in the Annual Report, CLN, CSG and Guard Libang are foreign equity method investees of Scientific Games. Except as set forth above, no changes have been made to the Annual Report, and this Amendment No. 1 does not amend, modify or update in any way any of the financial or other information contained in the Annual Report. This Amendment No. 1 does not reflect events that may have occurred subsequent to the filing date of the Annual Report. Accordingly, this Amendment No. 1 should be read in conjunction with the Annual Report and the Company's filings with the SEC subsequent to the filing of the Annual Report.
