Item 5.05.
Amendments to the Registrant’s Code of Ethics, or Waiver of a Provision of the Code of Ethics.
On December 14, 2017, the Board of Directors of The Mosaic Company (“Mosaic”) approved an updated Code of Business Conduct and Ethics (the “Code”). The Code was updated to improve language, appearance and style in order to enhance readers’ understanding of its provisions, and was also amended to remove language that Mosaic considered to be dated or duplicative and unnecessary. The updated Code will be made available on Mosaic’s website at www.mosaicco.com on the “Corporate Overview - Governance Documents” page in the “Investors” section as soon as practical.  The updated Code did not result in any waiver of any provision of Mosaic’s previous Code of Business Conduct and Ethics.
