Termination of a Material Definitive Agreement. |
On March 20, 2008, the Agreement and Plan of Merger dated May 17, 2007 by and among
CapitalSource Inc. (the Company), CapitalSource TRS Inc. and TierOne Corporation, a Wisconsin
corporation, was terminated. Pursuant to the terms of the Merger Agreement, either party had the
right to terminate the Merger Agreement if the proposed merger was not completed by February 17,
2008. No termination fee is payable by the Company as a result of termination of the Merger
Agreement.
The Company is continuing to explore alternative depository funding strategies.
