The investigation concerns whether the OPTi Board of Directors breached their fiduciary duties to OPTi stockholders by unanimously voting to liquidate the Company’s assets. In a Form 10Q filed with the SEC on November 14, 2011, the Company stated that the Company's largest shareholder, S. Muoio & Co. LLC and its affiliates, had recently increased its ownership of the Company's outstanding common stock from 28% to 35% and that such shareholder has indicated in its public filings with the SEC that it may engage in discussions with the Company regarding the potential orderly liquidation of the Company.
