Norsat to Exhibit at CommunicAsia June 19-22, 2012 and Update from Shareholders' Meeting

Norsat International Inc. (Norsat or the company) (TSX: NII and OTC BB: NSATF), a leading provider of communications solutions, will be exhibiting at CommunicAsia, Asia’s largest integrated information and communication technology event. Norsat will be exhibiting at booth 1Q2-12, demonstrating its broad range of microwave components and portable satellite terminals which are used by militaries, broadcasters and corporations around the world.

Norsat’s microwave products on display include Low Noise Block Downconverters (LNBs), Block Upconverters (BUCs), and filters including the latest Ku-Band, Ka-band and X-band LNB’s and BUC’s as well as WiMax interference filters. Additionally, Norsat wishes to provide further disclosure with respect to its stock option plan ("Stock Option Plan") contained in its information circular ("Information Circular") dated March 30, 2012. The Company's annual general and special meeting of shareholders was held on May 9, 2012 and the Company received shareholder approval for the Stock Option Plan at that time.

In addition to the disclosure found in the Information Circular regarding the issuance of stock options to insiders of the Company, the Stock Option Plan limits the number of common shares that may be issued to insiders under the Stock Option Plan and any other share compensation arrangement of the Company within a one year period to 10% of the outstanding shares of the Company, unless shareholder approval is obtained.

As at the date of the Information Circular, there were 1,903,700 options outstanding, representing 3.3% of the Company’s issued and outstanding shares. The unallocated entitlements under the Stock Option Plan are approved until May 9, 2015.
