UDR Prices $300 million of Senior Unsecured Notes Due 2026

UDR, Inc. (the “Company”) (NYSE:UDR) announced today that it has priced a $300 million offering of 2.95% senior unsecured notes under its existing shelf registration statement. Interest is payable semiannually on March 1 and September 1 with the first interest payment due March 1, 2017. The notes will mature on September 1, 2026. The notes were priced at 100% of the principal amount plus accrued interest from August 23, 2016.

The notes are fully and unconditionally guaranteed by United Dominion Realty, L.P.

The Company expects to use the net proceeds to prepay approximately $158 million of secured debt (including prepayment penalties and other fees) due in May 2017 with an interest rate of 5.61%, to repay a portion of the debt outstanding on its $1.1 billion unsecured credit facility, which has a maturity date of January 31, 2020 and had an interest rate of 1.4% at June 30, 2016, and for general corporate purposes. The settlement of the offering is expected to occur on August 23, 2016.

Credit Suisse, BofA Merrill Lynch and Morgan Stanley are the joint book-running managers for the offering. PNC Capital Markets LLC is the co-manager for the offering.
