On March 14, 2017, Air Methods announced that it had entered into an agreement and plan of merger to be acquired in a going private transaction by an affiliate of American Securities, a private equity firm, for $43.00 per share (the “Merger”). The Merger is to be accomplished by way of a tender offer, which is set to commence on March 28, 2017, and to be completed within twenty-one (21) business days thereafter. The Merger was announced shortly after Voce Capital Management LLC (“Voce Capital”), an activist shareholder invested in the Company, sent the Board a letter threatening to engage in a proxy fight, given what it perceived as the Board’s mismanagement and its destruction of shareholder value, leading to the Company’s “deep undervaluation”. Among other things, Voce Capital asserted that the Board had no credible plan to create stockholder value.
