Agau Resources, Inc. Announces Closing of Private Placement

Calgary, Alberta (FSCwire) - Agau Resources, Inc. (the “Corporation”) announces that pursuant to a private placement (“Private Placement”) it has issued to KW Capital Partners Ltd 37,621,056 common shares at a price of $0.00125 per share, for a total amount of $47,026.32.

The common shares are subject to a statutory four month hold period and the CTO’s referred to below.

As a result of the issuance referred to above, KW Capital Partners Ltd. beneficially owns and controls a total of 37,621,056 common shares which represents 51.74% of the issued common shares of the Corporation.

On November 6, 2017, the Alberta Securities Commission issued a Cease Trade Order: Variation and the British Columbia Securities Commission issued a Partial Revocation Order solely for the purposes of allowing the Debt Settlement therein defined, and an offering of up to $65,000 (the “Offering”).  The Private Placement completes the amount of the Offering.  The common shares issued pursuant to the Private Placement will be subject to the Cease Trade Order dated February 3, 2011 issued by the Alberta Securities Commission and the Cease Trade Order dated February 10, 2011 issued by the British Columbia Securities Commission (together called the “CTO’s”).  There is no guarantee that the CTO’s will be fully revoked and until such time as the CTO’s are fully revoked, the common shares will remain subject to the CTO’s.
