BIRMINGHAM, Ala., May 16, 2012 /PRNewswire/ -- At its meeting today, the Board of Directors of ProAssurance Corporation (NYSE: PRA) declared a cash dividend $0.25 per common share, payable on July 11, 2012 to shareholders who own our stock as of June 27, 2012.
Our dividend policy, announced on September 7, 2011, anticipates a total annual dividend of $1.00 per share, to be paid in equal quarterly installments. However, any decision to pay future cash dividends is subject to the Board's final determination after a comprehensive review of the company's financial performance, future expectations and other factors deemed relevant by the Board.
Also today, our non-employee, independent directors unanimously elected Robert E. Flowers, M.D. to serve as Lead Director. Dr. Flowers, who is a non-employee, independent director, is replacing Wilfred W. Yeargan, M.D. who did not stand for re-election to our Board due to age-related requirements as set forth in our By-Laws.
Dr. Flowers will coordinate the activities of the other non-employee, independent Directors, including leading executive sessions of the independent directors and presiding at all meetings of the Board at which the Chairman is not present. He will also serve as a liaison between non-employee, independent Directors and the Chairman and will consult with the Chairman regarding other issues involving the Board that may arise. Our Board also elected Victor T. Adamo as Vice-Chairman. Our Chairman and Chief Executive Officer, W. Stancil Starnes, was elected to the office of President.
