Item 2.02 Results of Operations and Financial Condition.
 
On November 2, 2010, interclick, inc. (the “Company”) issued a press release announcing its financial results for the quarter ended September 30, 2010 and business outlook for the fourth quarter and full year 2010.  The Company also held a conference call discussing the results and outlook.  The press release is attached hereto as Exhibit 99.1.
