          On December 14, 2010, the Board of Directors (the “Board”) of Arrow Electronics, Inc. (the “Company”) appointed Philip K. Asherman and Andrew C. Kerin as independent directors of the Company, effective December 15, 2010.  A copy of the press release announcing the appointment of Messrs. Asherman and Kerin is attached as Exhibit 99.1 to this Current Report on Form 8-K.
