Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On February 13, 2008, the Board of Directors of ANSYS, Inc. (the “Company”) approved the Second Amended and Restated By-laws, effective as of such date, to clarify the Company’s ability to issue its shares of common stock, par value $0.01 per share, and undesignated preferred stock, par value $0.01 per share, as uncertificated shares (the “Amended By-laws”).
The above statements are qualified in their entirety by reference to the Amended By-laws, which are attached hereto as Exhibit 3.1 and incorporated herein by reference.
