Item 7.01 Regulation FD Disclosure.

On November 1, 2010, Northern Trust Corporation (the “Corporation”) issued a press release announcing it has priced a public offering of $500,000,000 aggregate principal amount of the Corporation’s 3.450% Notes due November 4, 2020. A copy of the press release is attached hereto as Exhibit 99 and is incorporated into Item 7.01 of this Current Report on Form 8-K by reference.
