Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Joseph A. DePaulo, Executive Vice President of Banking and Finance, has informed SLM Corporation (the Company) of his decision to terminate his employment effective June 13, 2014 for Good Reason, pursuant to the terms of the Companys existing Executive Severance Plan for Senior Officers. Mr. DePaulo has submitted his resignation as a member of the board of directors of the Company and Sallie Mae Bank, effective immediately. As a result, Mr. DePaulo will not stand for reelection to the board of directors of the Company.
In connection with his departure, Mr. DePaulo will be entitled to receive the payments and benefits specified in the Companys Executive Severance Plan for Senior Officers.
