(d) Northern Trust Corporation (the “Corporation”) hereby amends its Form 8-K filed on December 22, 2014 to report that the Board of Directors (the “Board”) of the Corporation appointed Dean M. Harrison to the Audit and Business Risk Committees of the Board on February 17, 2015. As of December 22, 2014, the Board had not yet determined the committees to which Mr. Harrison would be appointed.
