Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On April 9, 2010 our Board of Directors (the “Board”) appointed Mr. Bruce J. Klatsky to serve as a member of the Board with effect from May 6, 2010 until our next annual meeting of shareholders. Mr. Klatsky’s Board committee memberships have not yet been determined.
There are no arrangements or understandings between Mr. Klatsky and any other person pursuant to which Mr. Klatsky was selected to serve as a director. There are no transactions between Mr. Klatsky and management or others that are subject to the reporting requirements of Item 404(a) of Regulation S-K of the Securities and Exchange Commission.
A copy of the Company’s press release dated April 12, 2010, announcing the appointment of Mr. Klatsky, is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
