Allen, constitutes Amendment No. 2 to the Schedule 13D originally filed with the Securities and Exchange Commission (the "SEC") on May 30, 1997 on Schedule 13D (the "Schedule 13D"), as amended by Amendment No. 1 filed with the SEC on July 23, 1997. The Schedule 13D relates to the common stock, par value $.01 per share, of USA Networks, Inc., a Delaware corporation formerly named HSN, Inc. (the "Issuer").
