During the current fiscal year, the company implemented a new cost and financial accounting system, as a result of which it has
experienced unanticipated delays in closing its books and completing its assessment of the effectiveness of the companys internal control over financial reporting as required by the Sarbanes-Oxley Act under Section 404. As such, the company is not able to file its annual report on Form 10-K for the year ended April 30, 2006 by the July 14, 2006 original due date without unreasonable expense or effort. The company expects to file this annual report by July 31, 2006.
