Item 8.01  Other Events
 
On February 8, 2011, the Company announced that it had settled its legal issue with the Internal Revenue Service in the United States Tax Court.  The court determined that the Company was entitled to a $1.4 million deduction, that was previously disallowed by the Service.  As a result, the Company anticipates that it will recognize a tax benefit of $403,706 plus interest in its statement of operations for the three-month period ending March 31, 2011.  The press release is attached to this Report as Exhibit 99 and is incorporated herein by reference.
