Item 8.01.

Other Events.

Effective January 1, 2010, Shane Emswiler will assume the position of Vice President and General Manager, Electronics Business Unit of ANSYS, Inc. reporting to James E. Cashman III, the Company’s President and CEO. Formerly, Mr. Emswiler held the position of Chief Financial Officer of the Company’s Ansoft subsidiary prior to its post-acquisition integration with the Company.
