This Registration Statement covers 35,000,000 Shares which, together with the 15,000,000 Shares being carried forward from the Prior Registration Statement and the 10,000,000 Shares registered on the Company’s Registration Statement on Form S-8, File No. 333-13506 and upon which a fee has previously been paid, constitute the 60,000,000 Shares registered for issuance under the Novartis Corporation 2001 Stock Incentive Plan for North American Employees.
