Item 5.02.  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 23, 2009, Daniel Pifer resigned, effective December 15, 2009, as Executive Vice President, Operations and Technology. Pursuant to Mr. Pifer employment agreement with the Company, Mr. Pifer will not receive any severance benefits.
