Item 5.03 – Amendments to Articles of Incorporation of Bylaws; Change in Fiscal Year.
On December 6, 2007, the Board of Directors of salesforce.com, inc. (the “Company”) amended and restated the Company’s bylaws (the “Amended and Restated Bylaws”). The amendments to Article III clarify the rights and responsibilities of the Company’s officers. The amendments to Article IV provide that some or all of any or all classes of series of stock of the Company may be represented by uncertificated shares. The Amended and Restated Bylaws were effective as of December 6, 2007. The Amended and Restated Bylaws are attached hereto as Exhibit 3.1 and are incorporated by reference herein.
