Item 8.01Other Items.

 

As previously disclosed, Iconix Brand Group, Inc. (the “Company”) received a formal order of investigation from the staff of the United States Securities and Exchange Commission (the “SEC”) in December 2015. The Company continues to cooperate fully with the SEC regarding this matter. The Company has also recently been contacted by the U.S. Attorney’s office for the Southern District of New York (the “SDNY”) regarding this matter. The Company intends to cooperate fully with the SDNY regarding this matter. It is not possible to predict the outcome of these inquiries or their impact on the Company, if any, at this time.
