Item 5.07. Submission of Matters to a Vote of Security Holders.
On February 29, 2012, China Valves Technology, Inc. (the Company) held an annual meeting of its shareholders (the Annual Meeting) at which a majority of the Companys shareholders (i) elected each of the persons listed below to serve as a director of the Company for a term that will continue until the next annual meeting of stockholders, until a successor has been duly elected and qualified or the directors earlier resignation, death or removal, (ii) approved the appointment of BDO China Shu Lun Pan CPAS LLP to serve as the Companys independent registered public accounting firm for the fiscal year ending September 30, 2012, (iii) approved the Companys 2012 Equity Incentive Plan (the 2012 Plan); and (iv) adopted, on a non-binding, advisory basis, a resolution approving the compensation of the Companys named executive officers described under the heading Executive Compensation in the Companys proxy statement.
At the close of business on January 17, 2012, the record date for the determination of stockholders entitled to vote at the Annual Meeting, there were 35,869,654 shares of the Companys Common Stock, outstanding and entitled to vote at the Annual Meeting. The holders of 20,690,214 shares of the Companys Common Stock were represented in person or by proxy at the Annual Meeting, constituting a quorum.
