Item 8.01 Other Events

On January 24, 2019, Old National Bancorp (the “Company”) issued a press release announcing that the Company’s Board of Directors declared a quarterly cash dividend of $0.13 per common share.  The dividend is payable March 15, 2019, to shareholders of record on March 1, 2019.  For purposes of broker trading, the ex-dividend date of the cash dividend is February 28, 2019.  

Attached hereto as Exhibit 99.1 is the press release issued by the Company announcing the dividend which is incorporated herein by reference.
