Item 8.01 Other Events

     On October 12, 2006, Atlas Air Worldwide Holdings, Inc. (the “Company”) issued a press release announcing that it has begun distribution of 396,625 shares of its new common stock to holders of allowed general unsecured claims against the Company and certain of its subsidiaries pursuant to the terms of a Joint Plan of Reorganization under which the Company and the subsidiaries emerged from Chapter 11 bankruptcy protection on July 27, 2004. A copy of this press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
