(1)	Shares of restricted stock which vest pro rata over a three year period on the anniversary of the date of grant (i.e., one-third vest on each of August 22,2018, August 22, 2019 and August 22, 2020).
(2)	22,900 of these shares are held jointly by Mr. Stratton and his spouse. The number of shares beneficially owned following the reported transaction has been reduced by 1,500 shares from the amount reported in the reporting person's last report because the prior report counted such 1,500 shares as being both directly owned and owned jointly with the reporting person's spouse.
