Item 8.01. Item 8.01 Other Events
On November 11, 2008, Tucows Inc., a Pennsylvania corporation (the Company) restructured certain of its operations, which resulted in a reduction of approximately 15% of the Companys employees. This restructuring and associated reduction in workforce was approved by the Companys Board of Directors on November 6, 2008. During the fourth quarter of 2008, the Company expects to incur approximately $400,000 of compensation expense relating to severance to be paid to the affected employees.
This Current Report on Form 8-K contains forward-looking statements as that term is defined in the U.S. Private Securities Litigation Reform Act of 1995. In particular, this Current Report includes forward-looking statements related to the Companys business, particularly the payment of severance to certain employees and the fact that the Company may recognize a compensation expense as a result thereof. Such statements are based on managements current expectations and are subject to a number of uncertainties and risks, including general economic conditions and the other risks set forth in the Companys filings with the Securities and Exchange Commission. As a result, actual results may differ materially from the forward-looking statements in this Current Report. The Company encourages readers of this Current Report to understand forward-looking statements to be strategic objectives rather than absolute targets of future performance. Forward-looking statements speak only as of the date they are made. The Company does not intend to update publicly any forward-looking statements to reflect circumstances or events that occur after the date the forward-looking statements are made or to reflect the occurrence of unanticipated events except as required by law.
The information in this report and the exhibit is furnished to, and not filed with, the Securities and Exchange Commission and shall not be incorporated by reference into any registration statement filed by the company under the Securities Act of 1933, as amended, unless specifically identified therein as being incorporated therein by reference.
