ITEM 8.01. OTHER EVENTS. In late August and early September 2004 two lawsuits were filed against the Industries International, Inc. (the "Company") and Dr. Kit Tsui, the Company's former Chairman and Chief Executive Officer, in the United States District Court for the Southern District of New York.
